This Terms of Use (this "Agreement") is a binding legal agreement between users ("you", "Member" or "your") and HK FREYR NETWORK TECHNOLOGY CO., LIMITED and its affiliates and subsidiaries ("Bondy", the "Website", the "Application", "we", "us" or "our"), under which we provide you with Bondy. This Agreement also applies to any other services we may provide, such as customer support, social media, and community channels (collectively, the "Services"). Please read this Agreement carefully, especially the Limitation of Liability, Privacy Policy, Applicable Law and Dispute Resolution sections. Do not click the "Sign Up" button if you do not agree with the terms of this Agreement.
To register on Bondy, you must be at least 18 years old, not barred from using the Service in the US or other jurisdictions, comply with all applicable laws, and have never been convicted of a felony, indictable offense, sex crime, or similar offense. All information provided must be genuine, accurate, and comprehensive. You may not permit third parties to use your membership or transfer your account. You are responsible for keeping your password and account information private.
You may create an account manually or with your login information from Google, Facebook, or phone number ("Third-party Account"). By using the Service, you agree to receive SMS messages for purposes such as account verification, service notifications, and promotional offers; you may opt out at any time. You may cancel your membership at any moment by email at bondyclub@outlook.com. Bondy retains the right to cancel your membership at any time; you will receive a pro-rata refund in the event of termination without reason, but not where termination results from a violation of this Agreement or is at your request.
Bondy is intended only for the personal use of individual Members and may not be used for any commercial purpose. Businesses, organizations, and companies are not allowed to become Members. You agree not to develop competing databases, websites, applications, or services using Bondy, and not to conduct financial transactions over the Application or open accounts using fictitious usernames.
Bondy grants you a personal, restricted, non-commercial, non-exclusive, non-sublicensable, non-assignable, and revocable license to access and use the Service on your device for personal use only, subject to your full compliance with this Agreement. You must abide by the usage guidelines of any third-party platform (such as Google Play or Facebook) through which you register. Copying, modifying, distributing, selling, leasing, reverse engineering, or extracting source code is strictly prohibited unless permitted by law or expressly authorized by us in writing.
All intellectual property rights in the Website/Application and the Service are owned by or licensed to Bondy, including database rights, copyright, design rights, patents, and trademarks. You may not copy, alter, publish, transmit, distribute, perform, display, or sell any proprietary information owned by Bondy unless it is publicly available or you have obtained written permission.
All communications, profiles, images, videos, audio calls, and other content ("Content") must adhere to our Community Guidelines. You agree not to rent, trade, or sell account resources without our consent, and not to upload or make available Content that is defamatory, obscene, violent, pornographic, hateful, or inflammatory; that encourages criminal offences, dangerous activities or self-harm; that harasses, intimidates, or humiliates others; that is racist or discriminatory; that contains viruses or harmful code; or that infringes intellectual property rights. You may not attack or hack the Services' servers, crack or modify software, use bots, or exploit bugs or loopholes. We may remove Content that breaches these Terms, but we do not actively monitor user Content. You are solely responsible for your interactions with other users.
We may use third-party software or services to facilitate the Services. Your use of such third-party software or services is subject to the relevant third-party agreements. We make no warranties as to the security, accuracy, or availability of third-party services and content, and any disputes with third-party providers shall be resolved between you and those third parties.
You may not post, distribute, or reproduce any copyrighted content, trademarks, or proprietary information without the owner's prior written consent. If you believe your work has been copied in a way that constitutes copyright infringement, please provide our copyright agent with a description of the copyrighted work, its location on the Service, your contact details, an electronic or physical signature, and a good-faith statement made under penalty of perjury.
You alone are in charge of how you communicate with other Bondy users. Bondy is not obligated to monitor disagreements between Members but reserves the right to do so, and disclaims liability for any Member's expectations, promises, or accuracy of information.
Bondy is committed to protecting your personal information as described in the Bondy Privacy Policy, which is an essential component of this Agreement. By downloading, installing, or using the Services, you accept the terms of this Agreement and its Privacy Policy.
Bondy may procure services from third parties and affiliate marketing partners ("Suppliers") who work as independent contractors. Bondy disclaims all liability for the acts or omissions of any Supplier, and provides all Services "as is" without warranty of suitability for a particular purpose or non-infringement.
Relationships among Members are independent of Bondy. Users can cancel their subscription at any moment. Bondy may, in its sole discretion, delete a Member's profile if the Member is found on an anti-scam website or if credible evidence of illicit activity is provided.
Bondy provides both paid and free services. Before you use a paid service (an "In-App Purchase"), we will clearly notify you and give you the option to accept or reject the premium features. In-app purchases may be made through third-party platforms such as the Google Play Store. You may acquire a limited, personal, non-transferable, revocable license to use "Virtual Items"; Virtual Items are not property, have no real-world monetary value, and may not be sold, assigned, or transferred without our written authorization. Refund policies for third-party store purchases are subject to that store's specific policies. For more information about paid-service rules, see our Payment Agreement.
You agree to indemnify and hold harmless Bondy, its parent, subsidiaries, and affiliates, and their officers, directors, agents, and employees from any third-party claims arising out of your use of the Service not in accordance with this Agreement, any breach of this Agreement, or any violation of laws or third-party rights.
Bondy offers the Service "as is" and specifically disclaims warranties of fitness for a particular purpose and merchantability, as well as warranties on availability, security, continuity, and error-free use. Bondy does not guarantee that any Member meets the minimum age required and disclaims liability for content, communication, or use of the Service by individuals under 18 in violation of this Agreement. You may encounter offensive or objectionable material posted by other users; please choose carefully what information you provide to other parties or post on the Service.
Bondy shall not be liable for any indirect, consequential, incidental, special, or punitive damages arising from your use of the Service, including lost profits. Regardless of the form of action, Bondy's total liability to you will always be capped at the amount you paid, if any, to Bondy for the Service during the membership period. You are responsible for expenses that occur beyond our services, including travel, delivery, and meeting expenses.
Any dispute, controversy, or claim arising out of or relating to these Terms will be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its Arbitration Rules. The seat of arbitration will be Hong Kong, with one arbitrator, conducted in English. You waive any right to a jury trial or to participate in a class action; all claims must be arbitrated on an individual basis. Either party may bring suit in court to prevent infringement of intellectual property rights.
Headings are for reference only. If any provision is found invalid, the remaining provisions remain in effect. This Agreement is made in English and other languages; the English version prevails in case of disagreement. Bondy's failure to enforce any term is not a waiver of that term. This Agreement is the entire agreement governing your use of Bondy software and supersedes prior agreements.
If you are a user of Bondy in the USA, the laws of the state where you live govern all claims (except that the Federal Arbitration Act governs arbitration provisions), and you and we consent to the exclusive jurisdiction of the state or federal courts of California for disputes heard in court. Each party irrevocably waives any right to a jury trial or to participate in a class action. You and we agree to try to resolve disputes informally for sixty (60) days, and otherwise to binding individual arbitration before the American Arbitration Association (AAA) under the Federal Arbitration Act. Claims must be filed within one year.
If you are located in the United Kingdom, these Terms are governed by the law of the jurisdiction in which you are a resident. We will first try to resolve any dispute amicably; if we cannot, you or we can go to your local courts, and the courts of the Republic of Ireland, England and Wales, Scotland, or Northern Ireland will have non-exclusive jurisdiction depending on your residence.
